Terms of Service

By creating an account or using the LLM Catalyst platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are accepting on behalf of an organisation, you represent that you have the authority to bind that organisation. If you do not agree, do not use the Service.

These Terms incorporate our Privacy Policy by reference.

LLM Catalyst is a web-based platform that allows translation professionals and organisations to upload XLIFF-format files, process missing or incomplete translations using third-party AI providers (Anthropic Claude, OpenAI, Google Gemini, and DeepL), apply glossary terms and translation memory, and download the completed files for reimport into CAT tools such as SDL Trados and memoQ.

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time with reasonable notice.

You must create an account to use the Service. You agree to provide accurate and complete information and to keep it up to date. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account. Notify us immediately at hi@llm-catalyst.com if you suspect unauthorised access.

One account may be used by a single individual. Sharing credentials across multiple people is not permitted except where a Team or Enterprise plan explicitly provides for multiple seats.

You agree not to use the Service to:

• Upload or translate content that is illegal, harmful, harassing, defamatory, obscene, or that infringes any third-party rights.
• Process content that contains personal health information (PHI) or other sensitive regulated data unless you have appropriate authorisations and have contacted us to establish a suitable data processing arrangement.
• Attempt to reverse-engineer, scrape, or extract data from the Service in bulk by automated means outside of our published API.
• Resell or white-label the Service without a written agreement with us.
• Introduce malware, viruses, or other malicious code.
• Circumvent any usage limits, access controls, or billing mechanisms.

We may suspend or terminate accounts that violate these rules without prior notice.

5.1 Plans and Billing

The Service is offered on a Free tier and paid subscription plans (Pro, Team, Enterprise). Paid plans are billed monthly or annually in advance. All prices are listed in USD and exclude applicable taxes. Payment is processed by Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis.

5.2 Usage Limits

Each plan includes a monthly segment allowance. A “segment” is one source-text unit submitted for AI translation. Segments served from your translation memory cache do not count against your allowance. Unused segments do not roll over. If you exceed your allowance, translation requests will be paused until the next billing cycle or until you upgrade.

5.3 Refunds

Monthly subscriptions are non-refundable after the billing period begins. Annual subscriptions may be refunded on a pro-rata basis within 14 days of the initial purchase. Requests outside these windows are evaluated case by case; contact hi@llm-catalyst.com.

5.4 Price Changes

We will give at least 30 days' notice before increasing prices for active subscriptions. Continued use after the notice period constitutes acceptance.

6.1 Your Content

You retain all ownership rights to the source files, translation segments, glossaries, and other content you upload (“Your Content”). By uploading content, you grant us a limited, non-exclusive licence to process, store, and transmit it solely to provide the Service.

6.2 Our Platform

The Service, including its software, design, and documentation, is owned by LLM Catalyst and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, trade names, or other brand features.

6.3 Translated Output

Translated output files generated from Your Content are provided to you for your use. Because the translations are produced by third-party AI models, we make no claim of copyright over the translated text and pass any available rights to you, subject to the terms of the underlying AI providers.

Translations are produced by third-party AI providers. By using the Service, you acknowledge that your source text is transmitted to your chosen provider under their applicable API terms. We are not responsible for the accuracy, completeness, or suitability of AI-generated translations for any purpose. Translations should be reviewed by a qualified professional before use in published or legally binding documents.

If you supply your own DeepL API key, usage is subject to your direct agreement with DeepL and is billed to your own DeepL account.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT TRANSLATIONS WILL BE ACCURATE OR SUITABLE FOR YOUR INTENDED USE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LLM CATALYST'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD 100.

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend, and hold harmless LLM Catalyst and its officers, employees, and agents from any claims, damages, or costs (including reasonable legal fees) arising from (a) Your Content, (b) your use of the Service in violation of these Terms, or (c) your violation of any third-party rights.

You may cancel your account at any time from the account settings page. On cancellation, access continues until the end of the current billing period. We may suspend or terminate your account immediately if you breach these Terms or if required by law.

Upon termination, your right to use the Service ceases. We will delete your content as described in our Privacy Policy. Sections 6, 8, 9, 10, and 12 survive termination.

These Terms are governed by the laws of the Federal Republic of Germany, without regard to conflict-of-law provisions. Any disputes that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of Berlin, Germany, except where mandatory consumer-protection laws in your jurisdiction provide otherwise.

We may update these Terms at any time. We will provide at least 14 days' notice by email or dashboard notification before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
